Veldava Terms and Conditions

Welcome to the Veldava Client Portal. These Terms of Service and Legal Regulations (“Agreement”) govern your access to and use of our portal, IT services, and related resources. By using the portal, you acknowledge and agree to be bound by this Agreement.

1. Access and Eligibility

• Access to the portal is restricted to authorized users with valid credentials provided by Veldava LLC.
• You are solely responsible for maintaining the confidentiality of your account details and for all activities conducted under your account.
• Unauthorized access, sharing of credentials, or attempts to bypass security measures are strictly prohibited.

2. Use of Services

• The portal and IT services are provided for legitimate business purposes only.
• You must not use the services for unlawful, fraudulent, or harmful activities, including but not limited to:
  • Uploading or transmitting malicious code, viruses, or harmful data.
  • Interfering with or disrupting the integrity of the portal or connected systems.
  • Misusing the services for competitive analysis or unauthorized data extraction.

3. Data Protection & Privacy

• Veldava LLC processes user data in compliance with applicable U.S. federal and state data protection laws.
• Client data uploaded or transmitted via the portal remains the property of the client; however, you grant Veldava LLC a limited license to use such data solely for the purpose of delivering services.
• While we implement commercially reasonable security safeguards, Veldava LLC cannot guarantee absolute protection against unauthorized access or breaches.

4. Intellectual Property

• All content, software, designs, trademarks, and materials within the portal are the property of Veldava LLC or its licensors.
• You are granted a limited, non-transferable license to use the portal solely for your company’s internal business needs.
• Reproduction, modification, distribution, or reverse-engineering of portal materials is strictly prohibited.

5. Service Availability & Modifications

• Veldava LLC makes reasonable efforts to ensure the availability of the portal but does not guarantee uninterrupted or error-free operation.
• We reserve the right to modify, suspend, or discontinue any feature, service, or access to the portal without prior notice.

6. Legal Disclaimers & Limitation of Liability

• The portal and services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied.
• Veldava LLC shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the portal or reliance on its content.
• Our total liability to any client shall not exceed the total amount paid for services in the twelve (12) months preceding the claim.

7. Client Responsibilities & Indemnification

• You are responsible for ensuring compliance with applicable laws and regulations when using the portal and services.
• You agree to indemnify, defend, and hold harmless Veldava LLC, its affiliates, and employees from any claims, damages, or liabilities resulting from your misuse of the portal or violation of this Agreement.

8. Governing Law & Jurisdiction

• This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law provisions.
• Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Laramie County, Wyoming, USA.

9. Amendments

• Veldava LLC may update or revise these Terms of Service & Legal Regulations at any time. Updates will be effective upon posting in the client portal. Continued use of the portal constitutes acceptance of such changes.
